Terms of Service

The terms and conditions governing your use of ReliaRing business communications services.

Agreement Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Tridacom IT Solutions Inc., operating under the brand name ReliaRing ("ReliaRing," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Alberta, Canada.

By accessing or using ReliaRing's business communications services, including voice calling, messaging, voicemail, fax services, softphone applications, and related services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

Important: If you do not agree to these Terms, you must not access or use our Services. By using the Services, you represent that you have the legal capacity and authority to enter into this agreement.

1. Definitions

"Account" means the customer account created to access and use the Services.

"Authorized Users" means individuals authorized by the Customer to use the Services under the Customer's Account.

"CDR" (Call Detail Record) means a record containing information about a call, including caller ID, called number, duration, and timestamps.

"Customer Data" means all data, including communications content, that the Customer or Authorized Users submit to or through the Services.

"Documentation" means the user guides, technical documentation, and specifications provided by ReliaRing.

"Services" means all ReliaRing products and services, including but not limited to voice calling, messaging, voicemail, fax, call recording, AI features, and related applications.

"SLA" means the Service Level Agreement that forms part of these Terms.

2. Service Description

2.1 Core Services

ReliaRing provides the following business communications services:

Voice calling (inbound and outbound)
Business SMS and MMS messaging
Voicemail with transcription
Internet fax (send and receive)
Call recording and storage
AI-powered receptionist
Call routing and IVR
Call analytics and reporting
WebRTC softphone applications
Mobile and desktop applications
Video conferencing
Third-party integrations

2.2 Service Availability

Services are available primarily to customers in Canada and the United States. Some features may not be available in all geographic areas. We reserve the right to modify, suspend, or discontinue any Service or feature at any time with reasonable notice to affected customers.

2.3 Third-Party Services

The Services may integrate with third-party services and applications. Your use of such third-party services is subject to their respective terms and privacy policies. ReliaRing is not responsible for the availability, accuracy, or content of third-party services.

3. Account Registration

3.1 Registration Requirements

To use the Services, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Have the authority to bind yourself or your organization to these Terms
  • Maintain the security of your account credentials

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Enabling multi-factor authentication when available
  • Immediately notifying us of any unauthorized access or security breach
  • All activities that occur under your account

4. Fees and Payment

4.1 Pricing

  • Subscription fees are billed monthly or annually in advance, as selected during signup
  • Usage-based charges (calling minutes, SMS, etc.) are billed monthly in arrears
  • All prices are in Canadian Dollars (CAD) or US Dollars (USD) as specified in your account
  • Prices are exclusive of applicable taxes (GST, HST, PST, or other sales taxes)

4.2 Payment Terms

  • Payment is due upon invoice unless otherwise agreed in writing
  • We accept credit cards, debit cards, and pre-authorized debit (PAD) for Canadian bank accounts
  • You authorize us to charge your payment method for all fees incurred
  • Failed payments may result in service suspension after a 7-day grace period

4.3 Late Payments

Late payments may be subject to interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law in Alberta, whichever is lower, calculated from the date payment was due.

4.4 Price Changes

We may change our prices at any time. For existing customers, price changes will take effect at the beginning of the next billing cycle following 30 days' written notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

4.5 Refund Policy

Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. Unused calling credits or prepaid balances are non-refundable. Service credits under our SLA may be issued as account credits only, not cash refunds.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to use the Services for:

  • Illegal Activities: Any purpose that violates Canadian federal, provincial, or municipal laws
  • Spam and Telemarketing: Unsolicited bulk communications, robocalling, or violations of CASL (Canada's Anti-Spam Legislation)
  • Harassment: Threatening, abusive, harassing, or defamatory communications
  • Fraud: Deceptive practices, impersonation, or misrepresentation of identity
  • System Abuse: Attempting to circumvent security measures, overload systems, or interfere with service operation
  • Resale: Reselling or redistributing Services without written authorization
  • Privacy Violations: Unauthorized interception, recording, or disclosure of communications

5.2 CRTC Compliance

You agree to comply with all applicable CRTC (Canadian Radio-television and Telecommunications Commission) regulations, including the National Do Not Call List (DNCL) rules, unsolicited telecommunications rules, and caller ID requirements.

5.3 Call Recording Consent

If you use call recording features, you are solely responsible for complying with all applicable laws regarding recording consent. In Canada, one-party consent is generally required under the Criminal Code. Some jurisdictions require all-party consent. We recommend consulting with legal counsel regarding your specific recording obligations.

5.4 Enforcement

We reserve the right to investigate suspected violations of these Terms and may suspend or terminate your account without notice for serious violations. We may also report illegal activities to appropriate law enforcement authorities.

6. Service Level Agreement

6.1 Uptime Commitment

ReliaRing commits to a 99.99% uptime for voice services, measured on a monthly basis, excluding scheduled maintenance windows.

6.2 Support Response Times

Critical (Service Down): Response within 1 hour, 24/7

High (Major Feature Impaired): Response within 4 hours during business hours

Medium (Minor Issue): Response within 8 business hours

Low (General Inquiry): Response within 24 business hours

6.3 Exclusions

The SLA does not apply to downtime caused by:

  • Scheduled maintenance (with at least 48 hours notice)
  • Force majeure events
  • Customer's equipment, network, or actions
  • Third-party service failures outside our control
  • Suspension due to non-payment or Terms violations

7. Emergency Services (E911)

IMPORTANT E911 NOTICE

VoIP-based 911 service operates differently from traditional landline 911 service. You must read and understand the following limitations:

7.1 E911 Limitations

  • E911 may not function if your internet connection is unavailable
  • Your registered address must be accurate for emergency responders to locate you
  • Location information may not automatically update if you use the service from a different address
  • Power outages may prevent E911 calls if your equipment is not battery-backed

7.2 Your Obligations

  • Register an accurate physical address for E911 during account setup
  • Update your E911 address immediately if you move or use the service from a different location
  • Inform all users of the E911 limitations
  • Maintain an alternative means of contacting emergency services (e.g., mobile phone)

8. Number Porting

You may port existing phone numbers to ReliaRing, subject to the following:

  • Number portability is subject to approval by your current carrier
  • You must provide accurate information and required documentation (LOA, recent bill)
  • Do not cancel your existing service until the port is complete
  • Porting typically takes 7-14 business days for Canadian numbers
  • A porting fee may apply as disclosed during the porting request

9. Intellectual Property

9.1 ReliaRing Property

All intellectual property rights in the Services, including software, trademarks, logos, and documentation, are owned by Tridacom IT Solutions Inc. or its licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services during the subscription term.

9.2 Customer Data

You retain all ownership rights to your Customer Data. You grant us a limited license to process, store, and transmit your Customer Data solely as necessary to provide the Services.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, worldwide, royalty-free license to use such feedback without any obligation to you.

10. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the business relationship. This includes, but is not limited to:

  • Technical specifications and system architecture
  • Pricing terms and business plans
  • Customer data and communications content
  • Security procedures and access credentials

Confidentiality obligations survive termination of these Terms for a period of three (3) years.

11. Warranties and Disclaimers

11.1 Our Warranties

We warrant that the Services will perform substantially in accordance with our Documentation during the subscription term. If the Services fail to meet this warranty, your exclusive remedy is for us to correct the non-conformity or, if we cannot do so within 30 days, you may terminate your subscription and receive a pro-rata refund of prepaid fees.

11.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

12.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

Our total aggregate liability arising out of or related to these Terms shall not exceed the total amount paid by you to us during the twelve (12) months immediately preceding the claim.

12.3 Exceptions

The limitations in this section do not apply to: (a) either party's indemnification obligations; (b) your payment obligations; (c) either party's breach of confidentiality obligations; or (d) claims arising from fraud or willful misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Tridacom IT Solutions Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of applicable laws or regulations
  • Any content or data you transmit through the Services
  • Your infringement of any third-party rights

14. Term and Termination

14.1 Term

These Terms commence on the date you first access the Services and continue until terminated. Subscription terms are as specified during signup (monthly or annual).

14.2 Termination by Customer

You may cancel your subscription at any time through your account settings or by contacting support. For monthly subscriptions, cancellation takes effect at the end of the current billing period. For annual subscriptions, cancellation takes effect at the end of the annual term.

14.3 Termination by ReliaRing

We may terminate or suspend your account:

  • Immediately for material breach, fraud, or illegal activity
  • After 7 days' notice for non-payment
  • With 30 days' notice for convenience or discontinuation of Services

14.4 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • Phone numbers may be released after 30 days
  • You may request data export within 30 days of termination
  • Customer Data will be deleted per our data retention policy
  • Outstanding fees remain due and payable

15. Governing Law and Disputes

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from these Terms shall be resolved as follows:

  1. 1.Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation for a period of thirty (30) days.
  2. 2.Mediation: If negotiation fails, the parties agree to attempt mediation before a mutually agreed mediator in Edmonton, Alberta.
  3. 3.Arbitration or Litigation: If mediation fails, disputes shall be finally resolved by binding arbitration under the rules of the ADR Institute of Canada, or by the courts of the Province of Alberta, at ReliaRing's election.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action, to the extent permitted by applicable law.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ReliaRing regarding the Services and supersede all prior agreements.

16.2 Amendments

We may amend these Terms at any time by posting the revised Terms on our website. Material changes will be communicated by email at least 30 days before taking effect. Your continued use of the Services after any amendment constitutes acceptance of the modified Terms.

16.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.4 Waiver

No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing and signed by the waiving party.

16.5 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all our assets.

16.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or failures of third-party telecommunications providers.

16.7 Language

The parties have expressly requested that these Terms and all related documents be drafted in English. Les parties ont expressément demandé que le présent contrat et tous les documents connexes soient rédigés en anglais.
